By accessing, registering for, or using the SegueMeet platform ('Service', 'Platform'), operated by SegueMeet ('we', 'us', or 'our'), you ('Customer', 'User', 'Organisation') agree to be legally bound by these Terms and Conditions ('Terms').
If you are entering into these Terms on behalf of a company, corporate board, non-profit, or other legal entity, you represent and warrant that you possess the requisite authority to bind such entity to these Terms.
SegueMeet provides enterprise cloud-based corporate secretarial and board governance software, including but not limited to: timed agenda compilation, digital board pack generation, real-time live minuting, conflict of interest tracking, formal in-session voting, out-of-session circular resolutions, annual work planning, and immutable audit logging.
We continually improve the Service and reserve the right to modify, enhance, or deprecate specific features in accordance with our product development roadmap, with prior notice for substantive changes impacting core workflows.
Organizations operate within strictly isolated tenant partitions. Organization Administrators are responsible for inviting users, designating organizational roles (Board Admin, Chair, Company Secretary, Board Member, Committee Member, Observer), and configuring committee-level document permissions.
Each user is responsible for maintaining the confidentiality of their credentials and session tokens. You must immediately notify SegueMeet of any unauthorized access, compromised credentials, or security incidents.
All board memos, financial statements, resolutions, minutes, and strategic documents uploaded to or created within SegueMeet remain the exclusive intellectual property and confidential information of the Customer.
SegueMeet employees and automated processes do not access Customer governance content except as strictly necessary to deliver the Service, troubleshoot explicit support requests authorized by an Organization Admin, or comply with mandatory court orders.
To preserve corporate governance integrity and legal non-repudiation, SegueMeet records snapshot audit logs of key governance events, including vote submissions, minutes sign-offs, conflict disclosures, and document uploads.
Once recorded, audit trail entries cannot be edited, rewritten, or deleted by users or administrators within the tenant workspace.
You agree not to: (a) reverse engineer, decompile, or disassemble any component of the Platform; (b) attempt to circumvent multi-tenant access barriers or role fencing; (c) upload malicious code, viruses, or harmful payloads; (d) use the Service to transmit unlawful, defamatory, or infringing materials; or (e) conduct unauthorized automated scraping or vulnerability scanning without prior written consent.
Subscription plans are billed on a recurring monthly or annual basis as specified during signup or in a bespoke Enterprise Order Form.
Fees are non-refundable except where explicitly required by applicable statutory consumer protection legislation or agreed in an Enterprise Service Level Agreement (SLA).
The Service is provided 'as is' and 'as available'. While SegueMeet is engineered with robust encryption, automated backups, and 99.9% uptime targets, we disclaim all warranties of fitness for a specific legal or statutory outcome.
SegueMeet provides workflow management tools and does not provide legal, financial, or regulatory compliance advice. Boards and Secretariats remain solely responsible for validating statutory compliance in their respective operating jurisdictions.
Either party may terminate the subscription with 30 days written notice or via the Organization Settings billing portal prior to the next renewal cycle.
Upon termination, Organization Admins may request a complete export of all board packs, meeting minutes, resolution registers, and audit logs within 60 days following account closure.
These Terms shall be governed by and construed in accordance with applicable corporate and commercial statutes.
